By law, each party to the contract of sale is entitled to offset funds owed to him by the other party, unless otherwise agreed in the contract. It should be seriously considered whether it is worthwhile for the parties to the contract to do so, in which case they may use this tool too easily.
To the extent that the parties agree that it will be possible to make set-offs, then the matter should be limited only with regard to the payments made by one party to the actual contract instead of the other party and not with regard to compensation, otherwise the matter can quickly escalate into dispute.
